AutoBidMaster Affiliate Program – Terms & Conditions
Effective Date: July 17, 2025
Welcome to the AutoBidMaster Affiliate Program (“Program”). These Terms & Conditions (“Terms”) govern your participation as an affiliate, influencer, or contractor (“Affiliate”) in collaboration with AutoBidMaster, LLC, an Oregon limited liability company, including its subsidiaries and affiliates (“AutoBidMaster” or “ABM”).
By applying to, participating in, or receiving compensation from the Program, you acknowledge and agree to be bound by these Terms, in addition to AutoBidMaster’s general Terms and Conditions. If you do not agree to these Terms, you may not participate in the Program.
1. Independent Contractor Status
The Affiliate shall operate as an independent contractor. Nothing in these Terms shall be construed to create a legal partnership, joint venture, agency, or employment relationship between the parties. The Affiliate is solely responsible for the payment of all applicable taxes, insurance, and compliance with relevant laws and regulations.
2. Eligibility and Participation
To be eligible, the Affiliate must:
- Be at least 18 years old;
- Submit accurate and complete personal or business information;
- Conduct all activities in a lawful, transparent, and professional manner.
3. Promotion Guidelines
All promotional materials, including but not limited to posts, stories, reels, or videos, must align with ABM’s brand values and marketing guidelines. No false, misleading, or unsubstantiated claims may be made about AutoBidMaster’s services. ABM may use, repurpose, or redistribute the Affiliate’s promotional content, including images, reels, and posts, across its marketing and social media platforms, with appropriate attribution. All promotions must clearly disclose the commercial or affiliate nature.
4. Use of Trademarks and Intellectual Property
Affiliates are granted a limited, non-exclusive license to use AutoBidMaster’s name, logo, and assets solely for promotional purposes related to the Program. This license ends automatically upon removal from the Program. Affiliates may not alter, misrepresent, or register any ABM-related trademark or domain.
5. Confidentiality
Affiliates may receive confidential information regarding ABM operations, strategies, and customers. This information must not be shared with third parties during or after participation, unless legally required. If requested, all confidential materials must be returned or deleted.
6. Program Removal
AutoBidMaster reserves the right to remove any Affiliate from the Program at any time, with or without cause. Grounds for immediate removal include but are not limited to:
- Fraudulent or unethical activity;
- Breach of confidentiality;
- Disparagement of ABM;
- Violation of these Terms.
7. Limitation of Liability
Neither party shall be liable for any indirect, incidental, or consequential damages arising out of participation in the Program. Liability shall not exceed the total compensation paid to the Affiliate within the 12 months preceding the claim.
8. Governing Law & Dispute Resolution
These Terms shall be governed exclusively by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Multnomah County, Oregon. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Multnomah County, Oregon,and the parties hereby consent to the jurisdiction and venue of such courts.
9. Content Ownership & Disparagement
All original content created by the Affiliate remains their intellectual property. ABM shall have a perpetual, royalty-free, worldwide license to use, modify, reproduce, and distribute such content for their own promotional purposes. The Affiliate shall not post, publish, or distribute any content or statements that may harm, damage, or bring into disrepute the reputation of ABM, its services, personnel, or affiliates. ABM reserves the right to request the immediate removal of any such content.
10. Modifications
ABM reserves the right to modify these Terms at any time. Affiliates will be notified of significant changes via email or platform notice. Continued participation following such updates constitutes the Affiliate’s acceptance of the revised Terms.
11. Entire Agreement
These Terms represent the entire understanding between ABM and the Affiliate and supersede any prior or contemporaneous agreements or understandings, whether written or oral.
